These Terms of Service ("Terms") govern your use of www.ez.car (the "Site") operated by EZ Car Network of Dealerships ("EZ Car," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms.

1. Acceptance of Terms

By using the Site, you affirm that you are at least 18 years of age, you have the legal capacity to enter into a contract, and you agree to comply with these Terms. If you do not agree, do not use the Site.

2. Use of the Site

You may use the Site only for lawful purposes. You agree not to:

• Violate any applicable law or regulation
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Site
• Use automated tools (bots, scrapers) to harvest data without our written permission
• Interfere with the Site's operation or security
• Reverse engineer, decompile, or disassemble any part of the Site
• Resell access to the Site or its content
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload viruses, malware, or any code intended to disrupt or damage the Site

3. Vehicle Inventory & Pricing

We make every effort to keep our inventory and pricing accurate. However:

• Inventory and prices change frequently and may not reflect availability or final transaction price
• Prices shown on the Site exclude government fees, taxes, finance charges, dealer-installed accessories, and any title, registration, or documentation fees
• We reserve the right to correct typographical errors or other inaccuracies in our listings
• Specifications, photos, and descriptions are provided for general reference and may not exactly match the vehicle as delivered
• A vehicle is not "reserved" or "sold" until a written purchase agreement is executed
• Vehicle availability is on a first-come, first-served basis and inventory listings do not constitute an offer to sell

4. Online Purchase & WebBuy

Some vehicles can be purchased online through WebBuy, our sister company that developed the end-to-end digital retailing platform we use. WebBuy and EZ Car Network of Dealerships share ownership and leadership but operate as separate legal entities. By initiating an online purchase, you acknowledge that:

• Any online checkout, deposit, or reservation is subject to verification of your identity, financing approval, and final inspection
• Refundable and non-refundable deposit terms are disclosed during the WebBuy flow and govern your transaction
• The final purchase agreement, including all warranties, disclosures, and binding terms, is the executed retail installment contract or bill of sale signed at delivery, not the online order summary
• We may decline or cancel any online order in our sole discretion, including (without limitation) for pricing errors, inventory unavailability, or suspected fraud
• Although WebBuy is our sister company, it operates as a separate legal entity with its own terms of service and privacy policy, which also govern your use of the WebBuy platform

5. Financing & Trade-In Tools

Pre-qualification, credit application, payment-calculator, and trade-in valuation tools on the Site are for informational purposes only. They do not constitute a binding offer of credit or guarantee a specific value. Actual financing terms and trade-in values depend on credit underwriting, vehicle inspection, market conditions, and other factors at the time of the transaction.

6. Communications & Consent

By providing your phone number or email address, you consent to receive communications from us regarding your inquiry, including by phone, email, and SMS/text message (where permitted by applicable law). Message and data rates may apply. You may opt out at any time by replying STOP to any text message or by following the unsubscribe link in any email. See our Privacy Policy for details.

7. User Submissions

If you submit reviews, comments, photos, or other content to the Site, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish, and display that content in connection with our business. You represent that you own or have the necessary rights to grant this license, and that your submission does not infringe the rights of any third party.

8. Intellectual Property

All content on the Site, including text, graphics, logos, photos, vehicle imagery, video, and software, is the property of EZ Car Network of Dealerships or its licensors and is protected by copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works from any portion of the Site without our prior written consent, except that you may print or download single copies for your personal, non-commercial reference.

9. Affiliated and Third-Party Services

The Site integrates with WebBuy, our sister company that provides our digital retail and online purchase technology. WebBuy is a separate legal entity with shared ownership and leadership. Its use is governed by its own terms and privacy policy. See Section 4 for details on online purchases through WebBuy.

The Site also contains links to third-party websites and integrates third-party services unaffiliated with EZ Car Network of Dealerships, including but not limited to financing partners, vehicle-history reports, and mapping services. We are not responsible for the content, privacy practices, or terms of any third party. Your use of those services is governed by their own terms and policies.

10. Disclaimers

THE SITE AND ALL CONTENT, TOOLS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.

Vehicle warranties (manufacturer, certified pre-owned, extended service contracts, etc.) are governed by the separate written warranty documents provided at the time of sale and are not affected by this Section.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EZ CAR NETWORK OF DEALERSHIPS, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability arising out of or relating to these Terms or your use of the Site is limited to one hundred dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this Section may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless EZ Car Network of Dealerships and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including Sections 7, 8, 10, 11, 12, 14, and 15) will survive.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site that is not subject to arbitration under Section 15 will be brought exclusively in the state or federal courts located in Fergus County, Montana, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual action in small-claims court.

Class-Action Waiver. You and EZ Car Network of Dealerships agree that any Dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to [LEGAL_EMAIL] within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

This Section does not apply to disputes governed by a separate arbitration agreement executed at the time of vehicle purchase, which controls those disputes.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent changes. Material changes will be communicated by posting a notice on the Site or by other reasonable means. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

17. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any documents executed at the time of a vehicle purchase, constitute the entire agreement between you and EZ Car Network of Dealerships regarding the Site and supersede any prior agreements on the same subject.
